End User License Agreement

IMPORTANT: Please read this End User License Agreement ("Agreement") carefully before using Print Propello. By accessing or using the Service, you agree to be bound by the terms of this Agreement. If you do not agree, do not use the Service.
1. Definitions
- "Service" means the Print Propello cloud-based business management platform accessible at printpropello.com, including all features, tools, integrations, and related services.
- "User," "You," or "Your" refers to the individual or entity that registers for and uses the Service.
- "We," "Us," or "Our" refers to Propello Inc., a federally incorporated company in the Province of Ontario, Canada, operating as Print Propello.
- "Your Data" means all data, content, and information that you upload, submit, or generate through the Service.
- "Third-Party Services" means external platforms you may connect to through the Service, including but not limited to Intuit QuickBooks Online.
2. Grant of License
Subject to your compliance with this Agreement and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription.
This license does not include the right to:
- Sublicense, resell, or redistribute the Service
- Modify, adapt, or create derivative works of the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to the Service or its related systems
3. Account Registration and Security
- You must provide accurate, complete, and current information during registration
- You are responsible for maintaining the confidentiality of your account credentials
- You are responsible for all activities that occur under your account
- You must notify us immediately of any unauthorized use of your account
- We reserve the right to suspend or terminate accounts that violate this Agreement
4. Your Data
4.1 Ownership
You retain all ownership rights to Your Data, including all customer records, quotes, orders, invoices, designs, decorator price lists, and any other content you create or upload. We do not claim any ownership over the data you upload, create, or store within the Service.
4.2 License to Us
You grant us a limited, non-exclusive, worldwide license to host, store, process, and display Your Data solely for the purpose of providing and improving the Service. Your Data is isolated to your tenant and is not used to train shared or global AI models. This license terminates when you delete Your Data or close your account.
4.3 Data Portability
You may export Your Data at any time through the Service's export features (CSV, JSON, and PDF formats where applicable). Upon account termination, we will make Your Data available for export for a period of 30 days, after which it will be permanently deleted.
4.4 Decorator Price Lists
The Service supports unlimited named decorator price lists per decoration method (screen printing, embroidery, DTF, DTG, sublimation, laser, vinyl, and others). All decorator price list data, decorator contact information, capability matrices, and pricing entered into the Service are Your Data and are owned by you. Decorator data is isolated to your tenant and is not shared with other Print Propello customers without your explicit consent.
4.5 Artificial Intelligence Features
- The Service includes AI-powered features (AI Email Intelligence, AI Assistant, AI Order Quality Check, AI Auto-Fill, AI image processing, AI Auto-Learning, and Aria AI Phone Receptionist on eligible tiers)
- AI features consume credits as displayed in-app; free monthly credits do not roll over, purchased credits do not expire
- You may disable AI Auto-Learning at the tenant level at any time
- Aria voice calls may be recorded and transcribed for service delivery; default retention is 90 days and is configurable in AI Settings
- You are responsible for reviewing AI-generated content before sending, signing, billing, or otherwise relying on it. AI output may contain errors or inaccuracies. We disclaim liability for losses arising from your reliance on AI-generated content without human review
5. Third-Party Integrations
5.1 QuickBooks Online Integration
The Service offers integration with Intuit QuickBooks Online ("QBO"). By connecting your QBO account:
- You authorize Print Propello to access, read, and write data to your QBO account as needed to perform synchronization of invoices, customers, payments, and related financial data
- You understand that data is transmitted between Print Propello and QBO over encrypted connections
- You may disconnect the integration at any time, which immediately revokes access to your QBO data
- Print Propello is not responsible for the availability, accuracy, or functionality of QBO services
Your use of QuickBooks Online is subject to Intuit's own Terms of Service and Privacy Policy. Print Propello is an independent service and is not affiliated with, endorsed by, or sponsored by Intuit Inc.
5.2 General Third-Party Terms
Third-Party Services are governed by their own terms and privacy policies. We do not warrant or guarantee the performance, availability, or security of any Third-Party Service. You assume all risk associated with connecting third-party accounts.
5.3 Bring-Your-Own-Twilio (BYO Telephony)
SMS, WhatsApp Business, and Aria (AI Phone Receptionist) features outside of the free trial require you to connect your own Twilio account and supply your own phone number. You are solely responsible for compliance with all applicable telecommunications laws (including A2P 10DLC registration in the United States, the Telephone Consumer Protection Act, Canada's Anti-Spam Legislation, the EU GDPR / ePrivacy Directive, WhatsApp Business Solution Terms, and applicable carrier acceptable-use policies) and for all charges levied by Twilio and underlying carriers. Print Propello acts solely as the software interface to your Twilio account.
5.4 Shared Trial Telephony
During the free trial, SMS, WhatsApp, and Aria features run on shared phone numbers operated by Print Propello. To protect third parties, outbound trial messages and calls are restricted to the trial user's own verified mobile number. Print Propello automatically deletes trial-attributed messages, recordings, and call logs from the shared numbers daily at 3 AM UTC.
6. Subscription, Trial, and Payment
6.1 Subscription Plans
- The Service is offered on a subscription basis with pricing as displayed at the time of purchase
- Subscriptions automatically renew unless cancelled before the renewal date
- All fees are non-refundable except as required by applicable law
- All prices are in United States Dollars (USD). Prices displayed in any other currency are estimates only
- Failure to pay may result in suspension or termination of your access to the Service
6.2 Free Trial — No Credit Card, Metered Limits, Anti-IP-Theft
- The free trial is fourteen (14) days, no credit card required, with access to the Pro tier feature set under metered usage limits displayed in-app
- Trial signups are subject to lightweight vetting; we may refuse or revoke trial access at our discretion
- You may not reverse engineer, copy, or attempt to replicate any part of the Service, its workflows, themes, prompts, templates, or business logic
- Theme JSON, workflow JSON, and full-data CSV exports are disabled during the trial; standard customer-facing PDFs remain enabled
- Trial storefront publishing is restricted to the
*.printpropello-trial.com subdomain; custom domains are not permitted during trial
- Trial watermarks and banners may not be removed or obscured
- We reserve the right to monitor trial-account behavior and revoke trial access for any account we reasonably suspect of violating these restrictions
7. Acceptable Use
You agree not to use the Service to:
- Upload or transmit viruses, malware, or other harmful code
- Interfere with or disrupt the Service or its infrastructure
- Attempt to access other users' accounts or data without authorization
- Use automated tools (bots, scrapers) to access the Service without permission
- Store or transmit content that is illegal, fraudulent, defamatory, or infringing
- Violate any applicable local, provincial, national, or international law or regulation
8. Intellectual Property and White Label
The Service, including all software, design, text, graphics, logos, trademarks, AI prompts, workflow templates, and theme structures, is owned by Propello Inc. or its licensors and is protected by Canadian, U.S., and international copyright, trademark, and other intellectual property laws. Nothing in this Agreement grants you any rights to our intellectual property except the limited license described in Section 2.
- Custom Branding (logo upload, brand colors, customer-portal and storefront branding) is included in all paid subscription tiers. The Print Propello name and marks may still appear in administrative interfaces, transactional emails, and other non-customer-facing surfaces
- Full White Label (removal of all Print Propello references from customer-facing and administrative surfaces, custom domains for the admin application, customer portal, and email sender domains) is available only on the Enterprise tier as configured in your service order
9. Service Availability and Modifications
- We strive to maintain high availability but do not guarantee uninterrupted or error-free service
- We may perform scheduled maintenance with reasonable advance notice
- We reserve the right to modify, update, or discontinue features of the Service at any time
- Material changes to the Service will be communicated to users in advance
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE ERROR-FREE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill
- Our total aggregate liability for any claims arising from or related to this Agreement or the Service shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim
- We are not liable for any losses resulting from third-party integrations, including data synchronization errors with QuickBooks Online or other connected services
12. Indemnification
You agree to indemnify, defend, and hold harmless Propello Inc. and its officers, directors, employees, contractors, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your violation of this Agreement
- Your violation of any third-party rights
- Your Data or content you submit through the Service
13. Termination
- You may terminate your account at any time by contacting us or using the account settings in the Service
- We may suspend or terminate your account if you violate this Agreement, fail to pay applicable fees, or for any other reason with reasonable notice
- Upon termination, your license to use the Service immediately ceases
- Sections 4.1 (Your Data Ownership), 8 (Intellectual Property), 10 (Disclaimer), 11 (Limitation of Liability), 12 (Indemnification), and 15 (Governing Law) survive termination
14. Changes to This Agreement
We may modify this Agreement at any time. We will notify you of material changes by posting the updated Agreement and updating the "Last Updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Agreement. If you do not agree with the changes, you must discontinue use of the Service.
15. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of laws provisions. Any disputes arising from this Agreement shall be resolved in the courts of the Province of Ontario, Canada.
16. General Provisions
- Entire Agreement: This Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Propello Inc. regarding the Service
- Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect
- Waiver: Our failure to enforce any right or provision of this Agreement shall not constitute a waiver of that right or provision
- Assignment: You may not assign this Agreement without our prior written consent. We may assign this Agreement freely
