Terms of Service

IMPORTANT: Please read these Terms of Service ("Terms") carefully before using Print Propello. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. About Print Propello
Print Propello is a cloud-based business management platform designed for the printing and promotional products industry. The Service is owned and operated by Propello Inc., a federally incorporated company in the Province of Ontario, Canada.
Throughout these Terms, "Print Propello," "we," "us," or "our" refers to Propello Inc. and its Service. "You" or "your" refers to the individual or entity accessing or using the Service.
2. Eligibility
- You must be at least 18 years of age to use the Service
- You must have the legal authority to enter into a binding agreement on behalf of yourself or the entity you represent
- The Service is intended for business use by printing, embroidery, promotional products, and related industry professionals
- You may not use the Service if you are prohibited from doing so under applicable law
3. Account Registration
- You must provide accurate, complete, and current information during registration
- You are responsible for maintaining the confidentiality and security of your account credentials
- You are responsible for all activities that occur under your account, including actions by team members you invite
- You must notify us immediately at support@printpropello.com of any unauthorized access to your account
- We reserve the right to suspend or terminate accounts that provide false information or violate these Terms
4. Free Trial
4.1 General Trial Terms
- New accounts may be eligible for a 14-day free trial with access to the Service's Pro tier feature set
- No credit card is required to start a free trial
- Trial signups are subject to lightweight vetting (a valid business email and business name are required); we reserve the right to refuse or revoke trial access at our discretion
- At the end of the trial, you must subscribe to a paid plan to continue using the Service
- We may limit each individual, business, IP address, or entity to one free trial
- We reserve the right to modify or discontinue the free trial at any time without notice
4.2 Trial Usage Limits (Metered)
To prevent abuse, premium features are metered during the trial. Indicative limits include but are not limited to: 25 AI Email actions, 50 AI Assistant queries, 10 AI Order Quality Check runs, 10 quotes / 5 orders / 5 invoices, 10 SMS messages, 10 WhatsApp messages, 5 Aria phone calls or 5 minutes (whichever first), 10 AI image processing operations, 1 email campaign (max 50 recipients), 3 Customer Portal accounts, 5 mockup approvals, and 5 marketing posts. Storefront publishing during trial is restricted to a single store on the *.printpropello-trial.com subdomain. Current trial allowances are displayed in-app and may be updated at any time.
4.3 Shared Trial Telephony Numbers
- During the trial, SMS, WhatsApp, and Aria (AI Phone Receptionist) features run on shared phone numbers operated by Print Propello — you do not need to provide your own Twilio account
- To protect third parties from spam and harassment, outbound trial messages and calls are restricted to the trial user's own verified mobile number (verified via SMS or voice OTP at signup)
- Print Propello automatically deletes all trial-attributed messages, recordings, and call logs from the shared numbers on a daily schedule (3 AM UTC)
- Trial use of the shared numbers is conditioned on compliance with applicable telecommunications laws including but not limited to the U.S. Telephone Consumer Protection Act (TCPA), Canada's Anti-Spam Legislation (CASL), and carrier acceptable-use policies
4.4 Trial Restrictions (Anti-IP-Theft)
During the trial, the Service is provided strictly for evaluation. You agree not to:
- Reverse engineer, copy, or attempt to replicate any part of the Service, its workflows, templates, themes, prompts, or business logic
- Export theme JSON, workflow JSON, or full-data CSV exports (these are disabled during trial; standard customer-facing PDFs remain enabled)
- Resell, redistribute, or share trial access with any third party
- Remove or obscure trial watermarks or banners from any user interface
- Connect a custom domain to a trial storefront (trial publishing is limited to the
*.printpropello-trial.com subdomain)
We reserve the right to monitor trial-account behavior for suspicious patterns (including but not limited to repeated visits to admin/settings pages, bot-like navigation, and repeated calls to export endpoints) and to revoke trial access for any account we reasonably suspect of violating these restrictions.
5. Subscription Plans and Payment
5.1 Plans and Pricing
- The Service is offered on a subscription basis with pricing as displayed on our website at the time of purchase
- Subscriptions are available on monthly or annual billing cycles; annual subscriptions receive two (2) months free relative to monthly
- Pricing is per-plan (not per-user) unless otherwise stated; user, AI credit, storage, and other quotas are stated per plan
- All prices are in United States Dollars (USD). Any prices displayed in another currency (including Canadian Dollars) are estimates only based on a reference exchange rate and are not the contractual price. International customers may be charged in their local currency at checkout based on the then-current exchange rate set by our payment processor
- Add-on modules and metered top-up packs (AI credits, Aria phone minutes, additional users, additional storage, additional Local Visibility Manager locations, etc.) are billed in addition to the base subscription
5.2 Billing and Renewal
- Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date
- Payments are processed through Stripe, a PCI-compliant third-party payment processor
- You authorize us to charge your payment method on file for recurring subscription fees
- If payment fails, we will attempt to notify you and may suspend access until payment is resolved
5.3 Refunds
- All subscription fees are non-refundable except as required by applicable Canadian or U.S. law
- If you cancel during a billing period, your access continues until the end of that period
- No partial refunds are provided for unused portions of a subscription period
5.4 Price Changes
Print Propello may adjust subscription pricing from time to time. For existing customers, any price increase will take effect no sooner than thirty (30) days after written notice via email and in-app notification. New pricing for new customers may be set at any time without notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing; if you do not agree, you may cancel before the change takes effect under Section 5.3.
6. Acceptable Use
You agree to use the Service only for lawful, legitimate business purposes. You shall not:
- Use the Service for any unlawful purpose or in violation of any applicable Canadian, U.S., or international law or regulation
- Upload, transmit, or store any content that is illegal, fraudulent, defamatory, obscene, threatening, or infringing on any third-party rights
- Attempt to gain unauthorized access to the Service, other user accounts, or related systems or networks
- Upload or transmit viruses, malware, ransomware, or other harmful code
- Interfere with or disrupt the integrity, performance, or availability of the Service
- Use automated tools (bots, scrapers, crawlers) to access the Service without our prior written permission
- Sublicense, resell, rent, lease, or redistribute access to the Service
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
- Remove, alter, or obscure any proprietary notices, labels, or marks on the Service
- Use the Service to send unsolicited commercial messages (spam) in violation of Canada's Anti-Spam Legislation (CASL) or the U.S. CAN-SPAM Act
7. Your Data
7.1 Ownership
You retain all ownership rights to data, content, and information that you upload, submit, or generate through the Service ("Your Data"). Propello Inc. does not claim any ownership over Your Data.
7.2 License to Us
You grant Propello Inc. a limited, non-exclusive, worldwide license to host, store, process, display, and transmit Your Data solely for the purpose of providing, maintaining, and improving the Service. This license terminates when you delete Your Data or close your account.
7.3 Data Portability
You may export Your Data at any time using the Service's built-in export features. Upon account termination, we will make Your Data available for export for a period of 30 days, after which it will be permanently deleted.
7.4 Data Security
We implement industry-standard security measures including TLS/SSL encryption in transit, AES-256 encryption at rest for sensitive data, bcrypt password hashing, and role-based access controls. While we strive to protect Your Data, no method of transmission over the Internet is 100% secure, and we cannot guarantee absolute security.
8. Third-Party Integrations
The Service integrates with third-party platforms including Intuit QuickBooks Online, Stripe, Twilio, and others. When you connect a third-party service:
- You authorize Print Propello to access and exchange data with that service as needed to perform the integration
- Your use of third-party services is governed by their own terms of service and privacy policies
- You may disconnect integrations at any time, which immediately revokes our access to that third-party service
- We are not responsible for the availability, accuracy, or performance of any third-party service
8.1 Bring-Your-Own-Twilio (BYO Telephony)
SMS, WhatsApp Business, and Aria (AI Phone Receptionist) features outside of the trial require you to connect your own Twilio account and purchase or port your own phone number. By connecting your Twilio account:
- You retain full ownership and control of your Twilio account, phone numbers, and carrier relationships
- You are solely responsible for compliance with all applicable telecommunications laws and carrier requirements, including but not limited to A2P 10DLC registration in the United States, sender ID registration where required, the U.S. Telephone Consumer Protection Act (TCPA), Canada's Anti-Spam Legislation (CASL), the EU GDPR / ePrivacy Directive, WhatsApp Business Solution Terms, and applicable opt-in / opt-out / quiet-hours rules
- You are solely responsible for all charges levied by Twilio and your underlying carriers; Print Propello does not mark up or resell telecom services
- Print Propello acts solely as the software interface to your Twilio account and is not a party to your carrier relationship
8A. Artificial Intelligence Features
The Service includes AI-powered features, including but not limited to: AI Email Intelligence (classification, summarization, drafting), AI Assistant (in-app chat / voice assistant), AI Order Quality Check, AI Auto-Fill from Email, AI image processing tools, AI Auto-Learning (Pro tier and above), and Aria (AI Phone Receptionist; Pro tier and above).
- AI credits. AI features consume credits as displayed in-app. Free monthly credits expire at the end of each billing cycle and do not roll over. Purchased credit top-up packs do not expire
- Tenant data isolation. Your data is not used to train shared or global AI models. AI features operate strictly within your tenant scope
- Custom AI Training. Custom AI Training (Enterprise tier only) is performed on your tenant's data only and remains scoped to your tenant
- Auto-Learning opt-out. You may disable AI Auto-Learning at the tenant level at any time from the AI Settings page
- Aria voice recordings. Voice calls handled by Aria may be recorded and transcribed for the purpose of providing the Service. Recording retention is configurable in the AI Settings page; default retention is ninety (90) days
- Human review. AI-generated content (drafts, summaries, suggested actions, transcripts) may contain errors or inaccuracies. You are responsible for reviewing AI-generated output before sending, signing, billing, or otherwise relying on it. Print Propello disclaims liability for losses arising from your reliance on AI-generated output without human review
- Acceptable AI use. You may not use AI features to generate content that violates Section 6 (Acceptable Use), including but not limited to spam, harassment, defamation, infringement, or impersonation
8B. Decorator Price Lists
The Service supports unlimited named decorator price lists per decoration method (screen printing, embroidery, DTF, DTG, sublimation, laser, vinyl, and others). All decorator price list data, contact information, capability matrices, and pricing entered into the Service are owned by you, are isolated to your tenant, and are not shared with other Print Propello customers, suppliers, or third parties without your explicit consent. Decorator data is included in standard data export and account-deletion procedures (see Section 7.3 and Section 15.3).
8C. Branding and White Label
- Custom Branding (logo upload, brand colors, customer-portal and storefront branding) is included in all paid subscription tiers. The Print Propello name and marks may still appear in administrative interfaces, transactional emails, and other non-customer-facing surfaces
- Full White Label (removal of all Print Propello references from customer-facing and administrative surfaces, custom domains for the admin application, customer portal, and email sender domains, and removal of any “Powered by Print Propello” markings) is available only on the Enterprise tier as configured in your service order
9. Intellectual Property
The Service, including all software, code, design, text, graphics, logos, trademarks, and other content, is the exclusive property of Propello Inc. or its licensors and is protected by Canadian and international copyright, trademark, patent, and other intellectual property laws.
Nothing in these Terms grants you any rights to our intellectual property except the limited license to use the Service as described herein.
"Print Propello" and the Print Propello logo are trademarks of Propello Inc. You may not use our trademarks without prior written permission.
10. Electronic Communications
By creating an account, you consent to receive electronic communications from us, including:
- Transactional emails (account confirmations, password resets, invoices, order notifications)
- Service-related announcements (maintenance schedules, feature updates, security alerts)
- Marketing communications (product updates, offers, newsletters) — you may opt out at any time
All electronic communications from us satisfy any legal requirement that such communications be in writing, in accordance with Canada's Electronic Commerce Act and the U.S. E-SIGN Act.
11. Service Availability
- We strive to maintain high availability but do not guarantee uninterrupted or error-free service
- We may perform scheduled maintenance with reasonable advance notice where possible
- We reserve the right to modify, update, or discontinue features of the Service at any time
- Material changes that reduce the functionality of your current plan will be communicated with at least 30 days' notice
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PROPELLO INC. DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, BE ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- Propello Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, whether based on warranty, contract, tort, negligence, or any other legal theory
- Our total aggregate liability for all claims arising from or related to these Terms or the Service shall not exceed the total amount paid by you to Propello Inc. in the twelve (12) months immediately preceding the event giving rise to the claim
- We are not liable for any losses resulting from third-party integrations, including data synchronization errors, third-party service outages, or actions taken by third-party providers
- Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases, our liability shall be limited to the greatest extent permitted by applicable law
14. Indemnification
You agree to indemnify, defend, and hold harmless Propello Inc., its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:
- Your use of or access to the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your violation of any third-party rights, including intellectual property or privacy rights
- Any content or data you submit, upload, or transmit through the Service
15. Termination
15.1 By You
You may cancel your subscription and close your account at any time through the Service's account settings or by contacting us at support@printpropello.com. Cancellation takes effect at the end of the current billing period.
15.2 By Us
We may suspend or terminate your access to the Service immediately, without prior notice, if:
- You breach any provision of these Terms
- You fail to pay applicable subscription fees after notice and a reasonable cure period
- We are required to do so by law or legal process
- We reasonably believe your use poses a security risk to the Service or other users
15.3 Effect of Termination
- Your license to use the Service immediately ceases upon termination
- Your Data will be available for export for 30 days following termination, after which it will be permanently deleted
- Sections 7.1, 9, 12, 13, 14, 17, and 18 survive termination
16. Changes to These Terms
We may modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms on the Service
- Sending a notification to your registered email address
- Updating the "Last Updated" date at the top of this page
Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree with the changes, you must stop using the Service and close your account.
17. Governing Law and Dispute Resolution
17.1 Governing Law
These Terms shall be governed by and construed in accordance with the federal laws of Canada and the laws of the Province of Ontario, without regard to conflict of laws principles.
17.2 Jurisdiction
Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, Canada. You irrevocably submit to the personal jurisdiction of such courts.
17.3 U.S. Users
If you are located in the United States, you agree that these Terms are governed by Canadian law as stated above, and you consent to the jurisdiction of Ontario courts. Nothing in these Terms limits your rights under mandatory consumer protection laws that apply in your state of residence.
18. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy and End User License Agreement, constitute the entire agreement between you and Propello Inc. regarding the Service and supersede all prior agreements
- Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect
- Waiver: Our failure or delay in exercising any right or remedy under these Terms shall not constitute a waiver of that right or remedy
- Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. Propello Inc. may assign these Terms freely in connection with a merger, acquisition, or sale of assets
- Force Majeure: Propello Inc. shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, pandemic, labour disputes, power failures, or internet outages
- Notices: We may provide notices to you via email, in-app notifications, or by posting on the Service. Notices to us should be sent to legal@printpropello.com
19. Compliance with Canadian and U.S. Law
- PIPEDA: We comply with Canada's Personal Information Protection and Electronic Documents Act (PIPEDA) with respect to the collection, use, and disclosure of personal information
- CASL: We comply with Canada's Anti-Spam Legislation (CASL) for all commercial electronic messages. You will not be added to marketing lists without your express consent
- CAN-SPAM: We comply with the U.S. CAN-SPAM Act for all commercial emails sent to U.S. recipients
- Provincial Privacy Laws: Where applicable, we comply with provincial privacy legislation including Ontario's privacy laws
- State Consumer Protection: Nothing in these Terms limits your rights under mandatory consumer protection laws applicable in your U.S. state of residence
